Terms of Use

This English text is a convenience translation. If it differs from the Turkish version, the Turkish version applies.

1. BINDING EFFECT

These Terms of Use (the “Terms”) form a binding agreement for the use of the SolarDesk software (the “Software”) provided by Pupa Solutions FZ LLC (the “Company”), based in Ras Al Khaimah Economic Zone (RAKEZ), UAE.

By downloading, installing or using the Software, you:

  • are deemed to have agreed to be bound by these Terms
  • declare that you are at least 18 years old
  • declare that you have the legal capacity to enter into this agreement

The Company may update these Terms unilaterally. Updates take effect as soon as they are published. If you do not accept the Terms, you must stop using the Software immediately.

2. PRIVACY

The Company values user privacy.

The Software does not collect:

  • project data
  • engineering data
  • user content

Only limited technical data may be processed for license verification. See the Privacy Policy for details. That policy is an integral part of these Terms.

3. USE OF THE SOFTWARE

The Company licenses the Software to the License Holder; no ownership is transferred.

The Software:

  • is activated with a License Key.
  • may include device-based verification mechanisms.

All rights in the Software belong to the Company.

The user may not:

  • sell or distribute the Software.
  • reverse engineer it.
  • attempt to obtain its source code.

3.1 License Term and Refunds: The software license is valid for the period agreed by the parties at purchase (Subscription). Once a License Key that is delivered digitally and produced for a specific person or device has been activated, no refund is given, owing to the nature of the product.

4. COMPLIANCE WITH INTELLECTUAL PROPERTY RIGHTS

While using the Software:

  • all intellectual property legislation must be complied with
  • third-party rights must not be infringed

The user is solely responsible for any infringement they commit.

5. IMPROPER USE

The user may not:

  • use the Software in an unlawful, threatening or harmful way
  • produce misleading engineering outputs
  • misuse the Software

If the Company detects such use, it may terminate access.

6. INTELLECTUAL PROPERTY INFRINGEMENT

The Company takes the necessary measures against intellectual property infringement.

Anyone wishing to report an infringement must send the Company:

  • the infringed content
  • their contact details
  • a statement showing that they are authorised

7. BREACH AND AUDIT

The Company:

  • may investigate where use contrary to the Terms is suspected
  • may suspend or terminate the license if necessary

The Company is not required to give prior notice in the event of a breach.

8. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED “AS IS”.

The Company gives no warranty of:

  • uninterrupted operation
  • error-free results
  • fitness for a particular purpose

9. LIMITATION OF LIABILITY

The Company is not liable for indirect damages, data loss, engineering errors or project failures. The Software is provided as a tool that assists engineering decisions (a decision-support mechanism). Checking that the Software's outputs comply with applicable local and international codes (Eurocode, ASCE, etc.) and giving final engineering approval are entirely the responsibility of the User/License Holder engineer. The Company cannot be held liable for structural damage arising from incorrect use of the Software's parameters or of integrated third-party software (SAP2000, etc.).

10. THIRD-PARTY SOFTWARE

The Software may work together with third-party software such as SAP2000.

The Company:

  • has no control over such software
  • gives no warranty as to its content or accuracy

11. PROHIBITED USES

The following are prohibited:

  • attempting to bypass the license mechanism
  • manipulating the device identifier
  • breaching system security
  • overloading or damaging the Software

13. GOVERNING LAW

These Terms are governed by the laws of the Republic of Türkiye, without prejudice to the rules of law to which the Company's registered office is subject. The Courts and Enforcement Offices of Ankara have jurisdiction over any dispute arising from these Terms.

14. SEVERABILITY

If any provision is invalid, the validity of the remaining provisions is not affected.

15. NO LICENSE GRANTED

These Terms grant no separate right to use any:

  • trademark
  • logo
  • trade name

16. CHANGES

The Company may:

  • update these Terms
  • change or discontinue the Software

17. ACCEPTANCE

BY USING THE SOFTWARE, YOU DECLARE THAT YOU HAVE:

  • READ THESE TERMS
  • UNDERSTOOD THEM
  • ACCEPTED THEM
